End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal contract between you (either an individual or an entity) and AIKYAM, a brand of Syntellect Robotics, governing your access to and use of our software, applications, firmware and related documentation (collectively, the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

License grant

Subject to the terms of this Agreement, AIKYAM grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes in accordance with the Documentation and any applicable usage rules. Unless expressly authorized, you may not sublicense, distribute, lease, loan, or make the Software available to third parties.

Restrictions

You shall not: (a) copy the Software except as permitted herein; (b) modify, create derivative works of, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software except to the extent permitted by applicable law; (c) remove or alter any proprietary notices; (d) use the Software to develop competing products; or (e) use the Software in violation of any law or third-party right.

Ownership

The Software and all intellectual property rights related thereto are and will remain the exclusive property of AIKYAM or its licensors. No rights are granted to you other than the limited license expressly set forth in this Agreement.

Updates and support

AIKYAM may, from time to time, provide updates, upgrades or patches to the Software. Such updates may be subject to additional terms. We are not obligated to provide maintenance or support unless agreed in a separate written agreement.

Third-party components

The Software may include third-party components licensed under open source or other licenses. Those components are licensed to you under their respective terms; where such terms require disclosure, the applicable notices and attributions are included in the Software or Documentation.

Fees and payment

If the Software is provided under a paid subscription or license, fees, payment terms and renewal provisions are set out in the applicable ordering document or invoice. Failure to pay applicable fees may result in suspension or termination of your access to the Software.

Warranty disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, THE SOFTWARE IS PROVIDED "AS IS" AND AIKYAM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AIKYAM DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AIKYAM, SYNTELLECT ROBOTICS OR THEIR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

Export compliance

You shall comply with all applicable export and import laws and regulations. You agree not to export, re-export, or transfer the Software in violation of any applicable laws or regulations.

Term and termination

This Agreement is effective until terminated. AIKYAM may terminate or suspend this Agreement and your access to the Software if you breach any material term of this Agreement. Upon termination, you must cease using the Software and destroy all copies in your possession unless retention is required by law.

Governing law and dispute resolution

This Agreement will be governed by the laws of the jurisdiction in which Syntellect Robotics is incorporated, without regard to conflict of law principles. Disputes arising under or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts in that jurisdiction unless otherwise required by applicable law.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
